Amsterdam, 24 November 2025 — OCI Global (Euronext: OCI), a leading international producer and distributor of nitrogen-based fertilizers, industrial chemicals, and low-carbon ammonia, has announced that it has entered into a definitive agreement to sell 100% of its equity interests in OCI Ammonia Holding B.V. (OCI AH) to AGROFERT, a.s., one of Europe’s most prominent nitrogen products manufacturers. The transaction represents a total consideration of EUR 290 million, marking a strategic step in OCI’s ongoing portfolio optimization.
OCI Ammonia Holding encompasses two key assets critical to the European ammonia value chain:
- OCI Terminal Europoort B.V. (OTE): OCI’s large-scale ammonia import and storage terminal located in the Port of Rotterdam, a major logistics hub for the European fertilizer and chemicals markets.
- OCI Ammonia Distribution B.V. (OAD): OCI’s ammonia distribution business supplying third-party customers across Europe, ensuring reliable access to ammonia for downstream industrial and agricultural applications.
This divestment underscores OCI Global’s continued focus on streamlining its portfolio, strengthening its balance sheet, and aligning investments with its long-term strategy in the global nitrogen, ammonia, and clean energy markets.
Transaction Structure and Strategic Rationale
Under the terms of the agreement, AGROFERT will acquire full ownership of OCI AH, enabling the company to expand its presence in the European ammonia supply, storage, and distribution network. Through the acquisition of the Rotterdam-based terminal and distribution platform, AGROFERT enhances its ability to secure ammonia feedstocks essential for fertilizer production and other industrial processes.

The agreement allows OCI to benefit from the terminal’s strategic positioning in the Port of Rotterdam while shifting ownership and operational responsibilities to AGROFERT.

The transaction is anticipated to close in the first half of 2026, subject to:
- Regulatory approvals
- Customary closing conditions
- Approval by OCI N.V. shareholders at an Extraordinary General Meeting
